The Society shall be managed and directed by a Board of Governors, which shall be responsible for all operations of the Society and shall be the final authority for all Society actions. The Board of Governors shall consist of fifteen members who are elected from the membership at large (Members at large), two additional members, who are appointed by the President, in consultation with the President-Elect and the Past President and with consent from the Board of Governors., and the members of the Executive Committee, as detailed in the Bylaws. The CAS Society will accept a representative from the Solid-State Circuits Society (SSCS) to serve a two-year term as a voting member at its BoG meetings. The SSC Society representative votes on all matters at the CASS BoG meetings with the exceptions of the elections and amendments to the CASS Constitution, Bylaws, and Policies & Procedures.
